Memphoria Policy

Event environments may include wet or uneven surfaces, stairs, curbs, grass, pavement, patios, cables, tents, stages, temporary flooring, furniture, barriers, signs, equipment, and crowded walkways. Attendees should remain alert, use reasonable care, follow posted instructions, and report unsafe conditions to event or venue staff.

Memphoria events may include amplified sound, live music, DJs, flashing or theatrical lighting, strobe effects, lasers, smoke, haze, glow products, or other sensory effects. Anyone with a condition that may be affected by these elements should take appropriate precautions and determine whether participation is suitable for them.

Outdoor events may involve heat, cold, rain, wind, lightning, humidity, insects, wet surfaces, or rapidly changing weather. Memphoria may delay, pause, relocate, modify, or cancel programming when weather or another safety concern makes that action reasonably necessary.

Food and beverages may be prepared or distributed by venues, caterers, food trucks, sponsors, or independent vendors. Individuals with allergies, dietary restrictions, or medical sensitivities are responsible for communicating directly with the provider before consuming a product. Memphoria cannot guarantee an allergen-free environment.

Alcohol may be available through an authorized venue or beverage provider. Attendees must comply with applicable law and venue policies, provide valid identification when required, drink responsibly, and arrange safe transportation. Service may be refused or discontinued, and an intoxicated or disruptive person may be denied entry or removed. Nothing in this policy limits any legal duty that cannot lawfully be waived.

Attendees are responsible for determining whether they are medically and physically able to attend or participate in an activity. In an apparent emergency, event or venue personnel may contact emergency medical services. Any medical, ambulance, hospital, medication, or treatment costs remain the responsibility of the person receiving those services to the extent permitted by law.

Memphoria or a venue may use security personnel, bag checks, identification checks, wristbands, entry controls, surveillance, or other safety measures. The presence of security does not guarantee that theft, altercations, criminal conduct, injury, or other harmful activity will not occur. Attendees should promptly report suspicious or dangerous behavior.

When minors are permitted, a parent or legal guardian remains responsible for supervision unless a separate written program expressly provides otherwise. General event staff, performers, vendors, or security personnel should not be assumed to provide childcare or supervision. Separate consent may be required for certain activities.

Memphoria seeks to provide welcoming event experiences and will work with venues regarding reasonable accessibility needs consistent with applicable law. Because many events occur at third-party venues, some physical accessibility features may be controlled by the venue. Guests seeking accommodations are encouraged to contact Memphoria in advance when practical.

To the fullest extent permitted by law, Memphoria and other released parties are not responsible for personal property that is lost, stolen, misplaced, damaged, destroyed, or left behind during an event, except where applicable law does not permit responsibility to be limited or released.

Parking lots, garages, street parking, rideshare services, shuttles, public transportation, and other transportation services may be operated by independent third parties. Attendees are responsible for parking legally, securing vehicles, removing valuables, arranging safe transportation, and avoiding impaired driving. Memphoria is not responsible for towing, citations, theft from vehicles, vehicle damage, delays, or independent transportation-provider conduct to the fullest extent permitted by law.

When an event is held at a third-party venue, the owner or operator may control the building, grounds, maintenance, parking, security procedures, alcohol policies, accessibility features, and other venue operations. Attendees must follow venue rules. Nothing in this policy relieves any party of a legal responsibility that cannot lawfully be transferred or limited.

Independent vendors, entertainers, artists, instructors, sponsors, exhibitors, photographers, contractors, and service providers are responsible for their own operations. Their presence at a Memphoria event does not by itself make Memphoria responsible for their products, services, personnel, professional advice, equipment, representations, or business practices.

A purchase, treatment, service, consultation, transaction, or agreement between an attendee and an independent third party is between those parties. Memphoria does not guarantee the quality, safety, availability, suitability, legality, or performance of an independent provider’s products or services.

Food and beverage providers are responsible for the products they prepare, sell, serve, or distribute. Attendees should ask the provider directly about ingredients, allergens, preparation practices, or dietary concerns before consuming a product.

Games, workshops, demonstrations, art activities, putting competitions, dance activities, interactive experiences, or similar programming may involve additional risks. Participation is voluntary, and attendees should follow the provider’s instructions, use supplied equipment appropriately, and decline participation when they believe an activity is unsafe or unsuitable for them.

A lost-and-found service, when offered, is a courtesy and does not guarantee that an item will be found, stored, protected, or returned. Unless Memphoria expressly accepts custody of an item in writing, use of a lost-and-found process does not create a guarantee of safekeeping. Unclaimed items may be disposed of after a reasonable period.

Unless a written agreement expressly provides otherwise, independent businesses and service providers participating in an event are not employees or agents of Memphoria merely because they are present at, promoted with, or contracted for an event. Each party remains responsible for its own legal, licensing, insurance, tax, employment, and operational obligations.

Memphoria or venue management may deny entry or remove a person who reasonably appears to pose a safety risk, engage in fighting or harassment, damage property, enter restricted areas, violate law or venue rules, refuse reasonable safety instructions, possess prohibited items, or materially disrupt the event. Refund eligibility, if any, is governed by the applicable ticket terms and law.

An attendee may be held responsible for injury, loss, damage, costs, or expenses caused by that attendee’s own unlawful, reckless, intentional, or negligent conduct, including damage to venue property, equipment, vendor property, Memphoria property, or another person’s property.

Weapons or other prohibited items, violence, threats, harassment, illegal drug activity, property damage, unauthorized access to restricted areas, and other unlawful or dangerous conduct are prohibited. Additional prohibited-item rules may be established by the venue or event-specific terms.

Attendees must comply with applicable venue policies concerning entry, parking, alcohol, identification, bags, prohibited items, smoking, re-entry, restricted areas, accessibility, and emergency procedures. Where an event-specific rule is more restrictive, the event-specific rule may control to the extent permitted by law.

Artists, DJs, performers, vendors, speakers, activities, schedules, opening times, closing times, and specific event elements are subject to change. Memphoria does not guarantee that every advertised performer, vendor, attraction, product, or activity will appear or remain available for the entire event.

Memphoria may alter, delay, interrupt, relocate, postpone, or cancel all or part of an event because of severe weather, lightning, fire, utility failure, government action, public emergency, security threats, civil disturbance, venue closure, performer cancellation, transportation interruption, equipment failure, communicable-disease conditions, or other circumstances beyond reasonable control.

If an event is postponed, relocated, interrupted, or canceled, refund, credit, transfer, or rescheduling rights, if any, are governed by the ticket terms for that event, the authorized ticketing provider’s applicable terms, and governing law.

Memphoria does not guarantee a particular commercial, networking, entertainment, promotional, social, or business outcome from attendance. Participation does not guarantee sales, leads, employment opportunities, introductions, access to a specific person, attendance levels, or any particular subjective experience.

Memphoria events may be photographed, filmed, livestreamed, or otherwise recorded for promotional, editorial, archival, advertising, social-media, news, or commercial purposes. Attendees acknowledge that they may appear incidentally in crowd imagery or recordings, subject to applicable law. Separate permission will be obtained where the law requires specific consent for a particular use.

Any release or limitation in this policy is intended to apply only to the maximum extent legally enforceable. It is not intended to excuse conduct or responsibility that applicable law does not permit a party to waive, release, disclaim, or limit.

This policy does not waive or limit rights, remedies, duties, or liabilities that applicable law makes non-waivable. This includes responsibility that cannot legally be released because of public policy or the nature of the conduct involved.

To the fullest extent permitted by law, an attendee may be responsible for claims, losses, damage, costs, or expenses resulting from that attendee’s own intentional misconduct, unlawful acts, reckless conduct, rule violations, property damage, or injury caused to another person. This provision does not require an attendee to indemnify another party for responsibility that cannot legally be transferred.

Ticket purchases and registrations may be subject to additional terms established by Memphoria, the venue, or an authorized ticketing provider. An attendee should not purchase, register, enter, or participate if the attendee does not agree to the applicable terms that have been presented to them.

Where Memphoria uses an electronic checkbox, registration form, purchase button, digital signature, or similar process to obtain agreement, that action is intended to evidence the attendee’s acceptance of the presented terms to the extent recognized by applicable law.

If a provision of this policy is found invalid, unlawful, or unenforceable, the remaining provisions are intended to remain effective. Any affected provision should be interpreted or limited, where legally permitted, so that it is enforceable as closely as possible to its intended lawful purpose.

Unless applicable law requires otherwise, this policy and disputes concerning Memphoria events held in Tennessee are intended to be governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

Memphoria may establish additional written terms for a specific event, activity, venue, ticket, vendor, sponsor, performer, contractor, or participant. Where a specific written term conflicts with this general policy, the more specific term may control to the extent permitted by law.

This policy may be updated to reflect changes in event operations, venues, safety procedures, or applicable requirements. Effective August 12, 2026. Changes will not be applied retroactively where prohibited by law. Attendees should review the version posted for the event they plan to attend.
